RosettaStyle is an apparel online resale marketplace, offering a convenient option for shopping and selling quality secondhand women's clothing and accessories. The following Terms of Use constitute a legally binding agreement (the "Terms") between you and Millsart Design Inc., its parent company, and its affiliate ("RosettaStyle," "we," "us," or" our") governing your use of our website, mobile applications, store purchase, and any existing service or content available through the preceding (collectively, the "Services").
Please read these terms of use carefully. By creating an account, purchasing products, or otherwise indicating your consent to these Terms, you agree to be bound by these Terms, and you represent and warrant that:
• You have read, understand, and agree to be bound by these Terms.
• You are of legal age to form a binding contract with us.
• You have the authority to enter into the Terms (on behalf of yourself or the entity you represent).
ACCOUNT REGISTRATION
To make a purchase, you must register with RosettaStyle directly. By enabling the Transaction Processing Systems (TPS) access, you allow us to access, make available and store any information, content, or other materials you have provided to or stored in your TPS account. In addition, you may get access to any TPS at any time by disconnecting your Transaction Processing System account via your online RosettaStyle account.

ELECTRONIC COMMUNICATIONS

By creating an account, you agree that you may receive communications from RosettaStyle, including, but not limited to, newsletters, promotions, special offers, account reminders, and updates.

Please remember that how a Transaction Processing System uses, stores, and discloses your information is governed solely by the policies of such TPS. Rosiestyle shall have no liability or responsibility for the privacy practices or other actions of any TPS that may be enabled within the rosistyle.com website.

If you choose to register with RosettaStyle (whether directly or through a TPS), you agree to provide and maintain accurate, current, and complete purchasing transaction information. Registration data and certain other information about you are governed by our Privacy Policy. Unless we expressly authorize you to do so, you are only authorized to create and use one account for Services. You are prohibited from using alter egos or other disguised identities when using the Services.
You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. RosettaStyle reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders at its sole discretion.

RETURN AND REFUND POLICY
​
Except as otherwise stated, you have 14 days after receiving your order to decide if you want to keep or return your items. Returned items will be credited back to you for the total amount of the purchase price in the refund method you choose, either in the form of RosettaStyle online shopping credit or in your original form of payment. In addition, a return shipping fee will be deducted from your refund amount. This cost is made up of the delivery costs, plus 20% of the product purchase cost.

If you choose to receive RosettaStyle shopping credit, RosettaStyle will provide you with a prepaid return label. However, customers initiating more than one return per month will be responsible for the cost of return shipping. Items purchased with RosettaStyle shopping credit will always be refunded back as shopping credit. Original shipping charges will not be credited or refunded when returning items.

Please note that we will only offer credit for items if they are returned to RosettaStyle on a timely basis and are in the same condition you received them. If you do not meet these requirements, your returned item will be forfeited.
Handbags and final sale items are non-returnable. However, we do guarantee the quality and authenticity of handbags.

PURCHASES AND PRICING
RosettaStyle is currently accepting credit and debit card transactions for online purchases only. Please keep in mind that we have only one of each item. We do not offer choices on size and color for any fashion item. Our inventory availability and listing prices are subject to change at any time without notice. To maximize the selection of items available for sale, RosettaStyle reserves the right, in its sole discretion, to limit the amount of time an item may remain in a customer cart. That limit is one to two weeks.
Unless otherwise stated, all prices are quoted in U.S. Dollars, and all promotions may be limited to U.S. customers.

The risk of loss for products you order passes to you upon delivery to the carrier (such as FedEx, UPS, or USPS). Therefore, we will request a certified signature for delivery to the customer's address. In addition, we will maintain delivery data and check the delivery status with the carrier.

Deliveries to Hawaiian islands, Guam, Alaska, and Puerto Rico will be supplemented by additional (outside of USA mainland) costs.

PRODUCT DESCRIPTIONS

We have made every effort to display as accurately as possible the colors and styles of our products. We cannot guarantee that your computer monitor's display of any color or style will be accurate. If a product offered by RosettaStyle is not as described, your sole remedy is to return it in unused condition. Postage cost will be provided/reimbursed by Rosistyle.

AUTHENTICITY

RosettaStyle prohibits the sale of counterfeit apparel and complies with all applicable laws pertaining to the trafficking of counterfeit clothing.
Brands sold on the website are not partnered or affiliated with Rosiestyle. However, RosettaStyle fully cooperates with brands seeking to track down the source of counterfeit items, which includes revealing the contact information of consignors submitting counterfeit goods.

INTERNATIONAL CUSTOMS, DUTIES, TAXES, AND
INTERNATIONAL CUSTOMER REFUNDS

You are responsible for assuring that our products can be lawfully imported to your destination country. International orders (shipped to countries outside the United States) may be subject to import taxes, customs duties, and fees levied by the destination country. These fees are levied once a shipment reaches your country and are the responsibility of the customer. We have no control over these charges and can't predict what they may be. Customs fees and policies are different from country to country and can change regularly. You should contact your local customs office for further information. When customs clearance procedures are required by your country, it can cause delays beyond our delivery estimates.

Shipping times for international orders can vary, but we would recommend that you allow at least 2-3 weeks for orders from the time it leaves the U.S. for them to receive it. There may be some cases when packages are delivered outside of the listed estimated timeframe. Please note international orders that are canceled after the order is shipped will not be refunded.

All third-party brand names and logos used in any commercial context by RosettaStyle are trademarks and/or registered trademarks of their respective holders. Any such appearance does not imply any affiliation with or endorsement of Rosiestyle.

Specific software code incorporated into or distributed with the Services may be licensed by third parties under various "open-source" or "public-source" software licenses (such as the GNU General Public License, the GNU Lesser General Public License, the Apache License, the Berkeley Software Distribution License, and the MIT License) (collectively, the "Open Source Software").
Notwithstanding anything contrary to these Terms of Use, the Open Source Software is not licensed under these Terms. Instead, it is separately licensed under the terms and conditions of their respective open-source software licenses. Other company, product, and service names and logos used and displayed through the Services may be trademarks or service marks of their respective owners who may or may not endorse or be affiliated with or connected to RosettaStyle and may not be used by you without permission. Any use of such marks, or any others displayed on through the Services, will inure solely to the benefit of their respective owners.

ARBITRATION AGREEMENT

A DISPUTE SHALL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION. Arbitration is a process established by law that allows parties to resolve their Disputes by an independent arbitrator rather than by a judge and jury. In an arbitration, only the arbitrator hears the evidence presented by both sides and makes a final and binding decision on the parties. The arbitrator may award damages and provide other relief as provided by law.
By agreeing to arbitrate any Disputes with us, you agree to give up your right to go to court to assert or defend your rights under this agreement. Concerning any dispute, you and RosettaStyle expressly delegate to the arbitrator the authority to determine the arbitrability of any dispute. This shall include the scope, applicability, validity, and enforceability of this arbitration provision. This Arbitration Agreement is intended to require arbitration of every claim or dispute that can lawfully be arbitrated. There is an exception for claims and disputes that are expressly excluded from the requirement to arbitrate by the terms of this Arbitration Agreement. All aspects of the arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.

Before initiating any arbitration, the initiating party will give the other party at least 60-days' advance written notice of its intent to file for arbitration. RosettaStyle will provide such information by email to your email address on file with RosettaStyle, and you must provide such notice by email to legal@RosettaStyle.com. During such a 60-day notice period, the parties will endeavor to settle amicably by mutual discussions any Dispute. Failing such an amicable settlement and expiration of the notice period, either party may initiate arbitration.
All aspects of any arbitration proceeding, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of all parties.

WAIVER OF RIGHT TO BRING CLASS ACTIONS
AND REPRESENTATIVE CLAIMS

The arbitrator is empowered to resolve the Dispute with the same remedies available in court. However, any relief must be individualized to you and shall not be joined with or otherwise affect any other Dispute. You and RosettaStyle agree that each may bring claims against the other in arbitration only in your or their respective individual capacities. In so doing, you and Rosiestyle now waive the right to a trial by jury to assert or participate in a class-articles-action class action arbitration (either as a named plaintiff or class member) and to assert or participate in any joint or consolidated lawsuit or joint or consolidated arbitration of any kind. Suppose a court decides that applicable law precludes enforcement of any of this paragraph's limitations as to a particular cause of action. In case that cause of action must remain in court and be severed from any arbitration.

According to the Federal Arbitration Act, this Arbitration Agreement shall be governed by, interpreted, construed, and enforced. The terms of the Arbitration Agreement provisions shall survive after this Agreement terminates or your use of the Sites ends. Except as stated above, if any portion of this Arbitration Agreement is deemed invalid or unenforceable, it will not invalidate the remaining parts of the Agreement.
TERMINATION
RosettaStyle reserves the right to modify our terms and conditions. Such modifications may include, without limitation, changes in prices, implementation of user priorities, and discontinuance of functional aspects of the website. RosettaStyle may also add, withdraw or modify any service or information within the website at any time at its sole discretion. All such modifications shall be displayed online, and such display shall constitute adequate notice under these Terms on the day Rosiestyle places them on the website. Accordingly, you agree to review the terms and conditions of these Terms periodically to be aware of such revisions.
GENERAL INFORMATION

These Terms shall be governed by the laws of the State of Georgia without regard to choice of law principles, except for the Arbitration Agreement above, which shall be governed by the Federal Arbitration Act. These Terms are for the benefit of, and will be enforceable by, the parties only and are not intended to confer any right or benefit on any third party or to create any obligations or liability of a party to any such third party. Suppose any provision of the Terms is found to be unenforceable or invalid for any reason. In that case, that provision shall be severable, and all other provisions shall remain in full force and effect. You agree that these Terms and all incorporated agreements may be automatically assigned by Rosiestyle at our sole discretion.

Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. A party's failure to act concerning a breach by the other party does not constitute a waiver of the party's right to bear concerning subsequent or similar breaches.

If RosettaStyle takes action (by itself or through its representatives) to enforce any of the provisions of these Terms, including a collection of any amounts due hereunder, and is awarded damages or other relief at law or in equity in action, RosettaStyle shall be entitled to recover from you (and you agree to pay), in addition to all sums to which it is entitled or any other relief, at law or in equity, attorney's fees incurred and any costs, including non-statutory costs, of any litigation, or proceeding.

To the extent allowed by applicable law, any claims or causes of action arising from or relating to your access and use of the Services or Website contemplated by these Terms must be instituted within two (2) years from the date such claim or cause arose or was accrued.
